Agreement:*		This Software License Agreement ("Agreement") is a legal agreement between you (in the following "Licensee") and Elektrobit Austria GmbH, 1060 Wien, Stumpergasse 48/28, in the following ("Elektrobit Austria GmbH") for the software accompanying this Software License Agreement. 1. License 1.1. For the purpose of this Agreement, "Software" shall mean all versions, including current, previous, and subsequent versions of all software in software products and firmware in hardware products, together with operating instructions, user manuals, training material, and other documentation as may, in Elektrobit Austria GmbH's sole discretion, be supplied to Licensee. 1.2. By installing, copying, or otherwise using this software or any update (as defined below), you agree to be bound by the terms of this Software License Agreement. If you do not agree to the terms of this Software License Agreement, do not install, copy or otherwise use this software. You may, however, return the software to your place of purchase for a full refund. 1.3. Elektrobit Austria GmbH hereby grants you a perpetual (unless terminated as set forth herein), nonexclusive license, subject to the terms and conditions of this Agreement, to install and use the Software. 1.4. The licensed Software is, and shall at all times remain, the property of Elektrobit Austria GmbH and/or its Licensor, and the Licensee shall have no title or interest therein, except as expressly set forth in this Agreement. 1.5. This license is non-transferable without Elektrobit Austria GmbH's consent, except to a subsidiary, or parent company of the Licensee, provided that Elektrobit Austria GmbH is notified in writing of the transfer and the transferee accepts these same terms and conditions. 1.6. You may only use the Software in accordance with the following licensing practices. Different types of licenses can be distinguished as set out below: 1.6.1 Node Locked License with hardware ID: this license entitles you to install and use the software on a specified computer, for which you will provide Elektrobit Austria GmbH with a specific hardware ID. 1.6.2 Node Locked License with dongle: this license entitles you to install and use the software on a specified computer, whereby the dongle is connected to this computer. 1.6.3 Floating License: this license entitles you to use the program on any personal computer within a network. The Software cannot be used on more than one computer simultaneously unless you buy the respective number of floating licenses. 1.6.4 Project License: this license entitles the Licensee to install and use the Software on any number of computers within the Licensee's company computer network or any number of embedded computers for the purpose and duration of one specific Project. This Project License is granted for one specific Project explicitly named and described in the Elektrobit Austria GmbH' confirmation letter or binding offer. The duration of the license is limited by the maximum duration of the Project as defined in the Elektrobit Austria GmbH' confirmation letter or binding offer. This Project License can be extended to Project Partner Companies for the specific Project. The extension must be granted by a written confirmation from Elektrobit Austria GmbH. 1.7. You may make back up copies of the Software as necessary to support the use of the Software in accordance with this Agreement. You may not remove any copyright, trademark, proprietary rights, disclaimer or warning notice included on or embedded in any part of the Software. All copies of the Software shall contain all copyright and proprietary notices as in the original. 1.8. You may not (a) rent, lease, or loan the Software; (b) electronically transmit the Software over a network except as necessary for Licensee's licensed use of the Software according to the license granted as set out above (1.6); (c) use run-time versions of third-party products embedded in the Software, if any, for any use other than the intended use of the Software, (d) modify, disassemble, decompile, or reverse engineer the Software, provided, however, that if the Software is located in a jurisdiction whose laws explicitly permit some form of reverse engineering, Licensee may do so solely to the extent so permitted by such law. Licensee agrees to notify Elektrobit Austria GmbH prior to doing so; (e) transfer possession of any copy of the Software to another party, except as expressly permitted herein; or (f) use the Software in any way not expressly provided for in this Agreement. There are no implied licenses. You agree not to exceed the scope of the licenses granted according to Elektrobit Austria GmbH' confirmation letter or binding offer. 1.9. Software Licenses to degree-granting educational institutions at Elektrobit Austria GmbH's educational discount are further restricted to use in connection with on-campus computing facilities that are used solely in support of classroom instruction and research activities of students and teaching faculty. The right to use the software for commercial purposes is expressly excluded. 1.10. Portions of the product may be identified as prerelease code ("Prerelease Code"). Such Prerelease Code is not at the level of performance and compatibility of the final, generally available Software offering. The Prerelease Code may not operate correctly and may be substantially modified prior to its first commercial sale. Elektrobit Austria GmbH is not obliged to make this or any later version of the Prerelease Code commercially available. The grant of license to use Prerelease Code expires upon availability of a commercial release of the Prerelease Code from Elektrobit Austria GmbH. 1.11. In the event that Prerelease Code contains a separate end-user license agreement, the terms and conditions of such end-user license agreement shall govern the use of the corresponding Prerelease Code. 1.12. If the product is labeled as an upgrade, you must be properly licensed to use the Software identified by Elektrobit Austria GmbH as being eligible for the upgrade in order to use the product. A product labeled as an upgrade replaces and/or supplements the product that formed the basis for the Licensee's eligibility for the upgrade. You may use the resulting upgrading product only in accordance with the terms of this Agreement. If the product is an upgrade of a component or of a package of software programs that you licensed as a single product, the product may be used and transferred only as part of the single product package and may not be separated for use on more than one computer. 2. Support 2.1. Support means technical support by phone, fax or e-mail with regard to the regular functions of the software and does not comprise support for solving specific tasks or developing specific applications. 2.2. Support Subscription means a service bundle covering technical support by phone, fax and email, software updates, patches and administrative support. A Support Subscription is valid for one year from the date of purchase. The Support Subscription for the first year is included in the License. Support Subscriptions for subsequent years must be Extended continuously (within three month after expiration). The release of software updates and patches is upon Elektrobit Austria GmbH's decision. The support subscription does not guarantee a particular number of software updates and patches throughout the validity of the Support Subscription. Software updates and patches that are requested by the Licensee and delivered by Elektrobit Austria GmbH as Prerelease Code Versions are charged according to separate agreements outside this agreement. 2.3. If the Support Subscription was not extended continuously, it is possible to renew the subscription to the above Support Subscription services, by the payment of an update fee (Update Subscription). The Update fee depends on how long the subscription has expired. The Update fee is the sum of Support Subscription fees of the past years that have not been paid plus 10% handling fee. The maximum amount for the Update fee is the current product price. 3. Title to Software 3.1. As Licensee you shall include Elektrobit Austria GmbH's copyright or proprietary rights notice on any copies of the Software or associated documentation, including copyright or proprietary rights notices of third parties that are included on media or in documentation provided by Elektrobit Austria GmbH. You acknowledge that the Software is the property of Elektrobit Austria GmbH or its licensors. 3.2. You shall take appropriate actions by instruction, agreement, or otherwise with any persons committed access to the Software, to satisfy your obligation under the terms of this Agreement. 4. Risk Risk in the media shall pass on to you on delivery. If any part of the media shall thereafter be lost, destroyed or damaged, Elektrobit Austria GmbH shall promptly replace the same (embodying the relevant part of the licensed programs or program documentation) subject to you paying the cost of such replacement. Elektrobit Austria GmbH shall not make any further or additional charge for such replacement. 5. Warranty, Liability 5.1. Elektrobit Austria GmbH warrants that the Software will conform in all material respects to its written specifications when delivered and during 90 days thereafter. For purposes of this Agreement, the sole source of such specifications shall be Elektrobit Austria GmbH's user documentation ("User Manual"), which is either provided as a written booklet or as a document on permanent data carrier, as disk, CD-Rom, web server, mailing list, etc. Where a material nonconformity exists within the warranty period and proper and immediate written notice has been given to Elektrobit Austria GmbH. Elektrobit Austria GmbH shall be liable under this warranty as set out below. 5.2. In the event the Software does not operate as warranted, your exclusive remedy and Elektrobit Austria GmbH's sole liability under this warranty shall be (a) the correction or work around by Elektrobit Austria GmbH of major defects within a reasonable time, or (b) should such correction or work around prove neither satisfactory nor practical, termination of the relevant license and refund of the initial license fee paid to Elektrobit Austria GmbH for the Software. 5.3. There shall be no warranty for differences arising from the combination or use of the Software with equipment, data or programs not supplied by Elektrobit Austria GmbH or arising from any alterations or modifications of Software unless Licensee proves that such use, alterations or modifications of Software did not cause the material nonconformity. 5.4. Elektrobit Austria GmbH shall have no support or warranty obligations and disclaims all liability for applications developed based on or supported by the Software and/or distributed by the Licensee. You will defend, indemnify and hold harmless Elektrobit Austria GmbH and its officers, directors, employees, agents and resellers from and against any claims, demands or liabilities based on or arising from, out of or in connection with the creation, use, marketing, licensing, publishing or sale of any compiled forms of code or any other applications based on or supported by the Software. 6. Limitation of Liability. 6.1. Elektrobit Austria GmbH shall only be liable for damages in case of gross negligence or malicious intent. 6.2. Elektrobit Austria GmbH's liability for damages under this Agreement, shall be limited to the amount of EURO 25,000.00. 6.3. In case of loss of data caused by Elektrobit Austria GmbH, Elektrobit Austria GmbH will be liable only for the direct costs of the reconstruction-effort, provided that the Licensee has accurately, properly and professionally maintained and backed up its data. 6.4. Elektrobit Austria GmbH shall have no liability for any indirect or consequential loss, whether foreseeable or otherwise and including loss of profits, loss of business, loss of opportunity, and loss of use of any computer hardware or software. 7. Confidentiality of Software and Documents 7.1. You shall not reproduce, duplicate, copy, sell, or otherwise disclose, or disseminate the Software, including operating instructions, user manuals, and training materials, in any medium except as authorized herein. You may make copies of the Software, in machine readable form, only as is reasonably necessary for archival and backup purposes. 7.2. You expressly undertake, using reasonable efforts not less than you exercise for own confidential materials, to retain in confidence, and to require your employees or consultants to retain the Software in confidence, and will make no use of such information, except under the terms and during the existence of this Agreement, and only to the extent that such use is necessary to your employees or consultants in the course of their employment. 7.3. You shall not release the results of any benchmark of the Software, or of any third party products embedded in the Software, without Elektrobit Austria GmbH's prior written approval. 7.4. The provisions of this section shall survive the termination of this Agreement for a period of five (5) years. 8. Termination. 8.1. Elektrobit Austria GmbH may terminate the license by written notice if you breach any material term of this license, including failure to pay any licensee fee due, and you have not cured such breach within thirty (30) days of written notification. 8.2. You may terminate this license at any time, for any reason by giving at least 30 days prior written notice to Elektrobit Austria GmbH. You shall not be entitled to any refund if this license is terminated. 8.3. Upon termination of this Agreement for any of the above reasons, all licenses granted hereunder terminate and you shall return to Elektrobit Austria GmbH the licensed Software and all copies of the whole or any part thereof or, if requested by Elektrobit Austria GmbH, shall destroy the same and certify in writing to Elektrobit Austria GmbH that it has been destroyed. 8.4. Any termination of the license subject to this Agreement (how so ever occasioned) shall not effect any accrued rights or liabilities of either party nor shall effect the coming into force or the continuance in force of any provisions hereof which is expressly or by implication intended to come onto or continue in force on or after such termination. 9. General 9.1. Waiver/Amendment. No waiver, amendment, or modification of any provision of this Agreement shall be effective unless in writing and signed by the party against whom such waiver, amendment, or modification is sought to be enforced. No failure or delay by either party in exercising any right, power or remedy under this Agreement, except as specifically provided herein, shall be deemed as a waiver of any such right, power, or remedy. 9.2. Assignment. Either party may assign this Agreement to an entity acquiring substantially all of its assets or merging with it, provided that such assignee agrees in writing to assume all obligations under this Agreement. Except as set forth above, neither party may assign any of its rights or delegate any of its obligations under this Agreement to any third party without the express written consent of the other. Any attempted assignment in violation of the foregoing shall be void and of no effect. Subject to the above, this Agreement shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto. 9.3. Disputes. The rights of the parties hereunder shall be governed by the laws of the Republic of Austria without giving effect to principles of conflicts of laws. Any suits brought hereunder may be brought in the Court of the First District of Vienna, Austria, which has jurisdiction over the subject matter ("das jeweils sachlich zust�ndige Gericht des 1. Bezirks in Wien"), and you submit to the jurisdiction thereof. The parties expressly exclude the application of the 1980 United Nations Convention on Contracts for the International Sale of Goods, if applicable. You acknowledge that the Software contains trade secrets, the disclosure of which would cause substantial harm to Elektrobit Austria GmbH that could not be remedied by the payment of damages alone. Accordingly, Elektrobit Austria GmbH will be entitled to preliminary and permanent injunctive relief and other equitable relief for any breach of Elektrobit Austria GmbH's intellectual property rights in the Software. 9.4. Severability. If any provision of this Agreement shall be held by a court of competent jurisdiction to be contrary to law, the remaining provisions of this Agreement shall remain in full force and effect. The parties hereby agree to replace any provision of this Agreement which was held by a court of competent jurisdiction to be contrary to law by a valid clause which materially reflects the intention of the parties at the time of agreeing upon the clause subject to replacement in the best possible manner. 9.5. Notice. Any notice, consent, or other communication hereunder shall be in writing, and shall be given personally, by confirmed fax or express delivery to: Elektrobit Austria GmbH, 1060 Wien, Stumpergasse 48/28 9.6. Independent Contractors. The parties' relationship shall be solely that of independent contractor and nothing contained in this Agreement shall be construed to make either party an employee, agent, partner, joint venturer, or representative of the other for any purpose. 9.7. Force Majeure. If the performance of this Agreement, or any obligation hereunder, except the making of payments, is prevented, restricted, or interfered with by reason of any act or condition beyond the reasonable control of the affected party, the party so affected will be excused from performance to the extent of such prevention, restriction, or interference. 9.8. Headings. The headings to the clause of this Agreement are for ease of reference only and shall not effect the interpretation or construction of this Agreement. 9.9. Entire Agreement. This Agreement constitutes the complete and exclusive agreement between the parties with respect to the subject matter hereof and supersedes all proposals, oral, or written, all previous negotiations, and all other communications between the parties with respect to the subject matter hereof. The terms of this Agreement shall prevail notwithstanding any different, conflicting, or additional terms that may appear in any purchase order or other Licensee document. All products and services delivered by Elektrobit Austria GmbH to Licensee are subject to the terms of this Agreement, unless specifically addressed in a separate agreement. I accept.
